Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Business Owner", "User", "you") and WAPLO Technologies ("WAPLO", "we", "us") governing your access to and use of the WAPLO platform, website (waplo.io), dashboard, APIs, and related services (collectively, the "Service").
You must be at least 18 years old and legally authorized to enter into contracts to use WAPLO. By using WAPLO, you represent that you meet these requirements.
Description of Service
WAPLO is a WhatsApp Business Automation SaaS platform that enables businesses to:
- Automate customer communication via WhatsApp Business API
- Manage orders, bookings, and customer relationships
- Deploy AI-powered responses using OpenAI GPT-4o-mini
- Send broadcast marketing campaigns to opted-in customers
- Track analytics, revenue, and customer behavior
- Integrate with payment gateways (Razorpay/Stripe)
WAPLO is a tool platform — you remain fully responsible for how you use it and the content you send through it.
Account Registration
To use WAPLO, you must create an account with accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately at support@waplo.io of any unauthorized access
- Ensuring your WhatsApp Business number is properly registered with Meta
- Having a valid Meta Business Account and WhatsApp Business API access
You may not share account access with unauthorized parties or create accounts for the purpose of reselling without our written consent (see Reseller Program).
Subscription & Billing
WAPLO operates on a monthly subscription model. Current plans:
- Subscriptions renew automatically on the same date each month
- Prices are exclusive of applicable taxes (GST, VAT, etc.)
- You will be notified 7 days before any price changes
- Downgrade takes effect at next billing cycle; upgrade is immediate
- Add-ons (extra numbers, staff logins, broadcast credits) are billed monthly
- Failed payments result in a 7-day grace period before service suspension
WhatsApp Business API conversation charges (from Meta) are separate from WAPLO subscription fees and billed directly by Meta to your Meta account.
Acceptable Use Policy
You agree to use WAPLO only for lawful business purposes. The following are strictly prohibited:
- Sending spam, unsolicited messages, or messaging customers who have not opted in
- Sending messages promoting illegal products, services, or activities
- Phishing, fraud, deception, or misrepresentation
- Sending adult content, hate speech, violence, or discriminatory content
- Violating Meta's WhatsApp Business Acceptable Use Policy
- Attempting to reverse-engineer, copy, or resell WAPLO without authorization
- Using WAPLO to compete directly with WAPLO's core business
- Collecting personal data without proper consent from end customers
- Using WAPLO for political campaigning, religious solicitation, or pyramid schemes
- Sending messages at a rate that violates Meta's messaging policies
WhatsApp API Compliance
WAPLO operates on Meta's official WhatsApp Business API. By using WAPLO, you also agree to be bound by Meta's terms:

You are solely responsible for ensuring your use of WhatsApp via WAPLO complies with all applicable Meta policies. WAPLO is not liable for any action Meta takes against your WhatsApp Business account, including suspension or ban.
You must maintain a valid, approved Meta Business Account and WhatsApp Business API access. If your Meta access is revoked, WAPLO cannot be held responsible for service interruption.
Intellectual Property
WAPLO's IP: All platform software, workflows, UI designs, algorithms, AI prompts, branding, and documentation are the exclusive intellectual property of WAPLO Technologies. You may not copy, reproduce, or create derivative works without written permission.
Your Content: You retain ownership of your business content — products, services, messages, and customer data. By using WAPLO, you grant us a limited license to process this content solely to provide the Service.
Feedback: Any feedback or suggestions you provide about WAPLO may be used by us to improve the platform without compensation or attribution to you.
Limitation of Liability
WAPLO provides the Service "as is" and "as available." We make no warranties, express or implied, regarding service availability, accuracy, or fitness for a particular purpose.
WAPLO shall not be liable for:
- Loss of revenue, profits, or business opportunities
- Messages not delivered due to Meta/WhatsApp technical issues
- Actions taken by Meta against your WhatsApp Business account
- AI responses generated by OpenAI that may be inaccurate
- Data loss due to hardware failure (though we maintain backups)
- Third-party service outages (Meta, OpenAI, Razorpay, Stripe)
- Indirect, incidental, or consequential damages
Our total liability to you for any claim shall not exceed the amount you paid to WAPLO in the 3 months preceding the claim.
Service Availability & SLA

Scheduled maintenance (max 2 hours/month) will be communicated 48 hours in advance via email and dashboard notification. Maintenance windows are excluded from uptime calculations.
Service credit for downtime exceeding SLA: 10% of monthly fee per hour of excess downtime, up to 30% of monthly fee.
Termination
By You: You may cancel your subscription at any time from your dashboard. Cancellation takes effect at end of current billing period.
By WAPLO: We may suspend or terminate your account immediately if:
- You violate the Acceptable Use Policy
- Payment fails and grace period expires (7 days)
- Your Meta/WhatsApp account is banned or suspended
- You engage in fraudulent, illegal, or abusive behavior
- Court order or legal requirement to do so
After Termination: Upon termination, your access is revoked immediately. We retain your data for 30 days during which you can request an export. After 30 days, data is permanently deleted.
Refund Policy
Exceptions where refunds are granted:
- Technical failure on WAPLO's end causing total service unavailability for 24+ consecutive hours — pro-rated refund for downtime period
- Double billing or payment processing errors — full refund within 7 business days
- New customers (within 7 days of first subscription, if service was unused)
Add-on credits (broadcast credits) are non-refundable once purchased. Unused credits carry over to next month but expire on account termination.
To request a refund, email billing@waplo.io with your account details and reason.
Governing Law & Disputes
Governing Law: These Terms shall be governed by the laws of India. For users in other jurisdictions, local consumer protection laws may also apply.
Dispute Resolution:
- Step 1 — Informal Resolution: Contact us at legal@waplo.io. We aim to resolve disputes within 14 days.
- Step 2 — Mediation: If informal resolution fails, parties agree to mediation before formal legal proceedings.
- Step 3 — Arbitration: Unresolved disputes shall be settled by binding arbitration under Indian Arbitration and Conciliation Act, 1996.
- Jurisdiction: Courts of competent jurisdiction in India shall have exclusive jurisdiction.
EU/UK Users: Nothing in these Terms affects your statutory rights as a consumer under EU/UK law, including access to ADR schemes.
US Users: Disputes are subject to binding arbitration and you waive the right to class action lawsuits.
Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes:
- We will update the "Last Updated" date at the top of this page
- Send email notification to all registered users at least 30 days before changes take effect
- Display prominent in-dashboard notice
If you disagree with the new Terms, you may cancel your subscription before they take effect. Continued use after the effective date constitutes acceptance.
