Terms of Service

These Terms of Service govern your use of WAPLO (waplo.io), operated by S.U Enterprises, Ludhiana, Punjab, India. By creating an account or using WAPLO, you agree to these terms in full.
1. Definitions
- "WAPLO" โ The platform at waplo.io, operated by S.U Enterprises
- "We / Us / Our" โ S.U Enterprises and the WAPLO team
- "You / Customer" โ The business or individual subscribing to WAPLO
- "End Customer" โ Your customers who interact with you via WhatsApp through WAPLO
- "Services" โ WhatsApp automation, Team Inbox, AI replies, broadcasts, and all WAPLO features
- "Platform" โ The WAPLO dashboard, API, n8n workflows, and associated tools
2. Account Registration
- You must be at least 18 years old to create an account
- You must provide accurate and complete information during registration
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately at support@waplo.io of any unauthorized access
- One account per business โ you may not create multiple accounts to circumvent limits
- You are responsible for all activities that occur under your account
3. Services Provided
WAPLO provides the following services (availability depends on your subscription plan):
- WhatsApp Business API integration and automation
- AI-powered auto-replies (powered by OpenAI GPT-4o-mini)
- Team Inbox for multi-agent WhatsApp management
- Broadcast and drip campaign messaging
- No-code chatbot builder
- Industry-specific automation workflows (restaurants, salons, clinics, accountants, etc.)
- Google Drive, Sheets, and Calendar integration
- Instagram and Facebook Messenger automation (coming soon)
- Analytics and reporting dashboard
- CRM and customer management
- Appointment and order management
- Payment collection via WhatsApp
We reserve the right to modify, add, or remove features with reasonable notice.
4. Acceptable Use
You agree to use WAPLO only for lawful business purposes. You must:
- Obtain proper consent from your end customers before sending them WhatsApp messages
- Comply with Meta's WhatsApp Business Policy and Messaging Policy
- Comply with all applicable local laws in your country of operation
- Use WAPLO only for your registered business โ not resell access without our written permission
- Keep your account credentials secure and not share them with unauthorized parties
- Accurately represent your business in all customer communications
- Maintain opt-out/unsubscribe mechanisms for your end customers
5. Prohibited Activities
โ Violation of these prohibited activities may result in immediate account termination without refund.
You may NOT use WAPLO to:
- Send spam, unsolicited messages, or messages to people who have not opted in
- Promote illegal products or services
- Harass, threaten, or abuse any person
- Send misleading, false, or deceptive content
- Violate any third party's intellectual property rights
- Distribute malware, viruses, or malicious code
- Scrape, mine, or bulk-collect data from WAPLO
- Attempt to reverse-engineer or hack the platform
- Use the platform to conduct phishing or fraud
- Send adult content, violence, hate speech, or discriminatory material
- Violate WhatsApp's or Meta's terms and policies
- Use the platform in countries sanctioned by India, the USA, or international bodies
- Share your account access with people outside your organization
- Circumvent billing by creating multiple accounts
6. WhatsApp & Meta Compliance
WAPLO uses the official Meta WhatsApp Business Cloud API. As a customer, you must:
- Comply with Meta's WhatsApp Business Policy
- Comply with Meta's Platform Terms
- Only message customers who have opted in to receive WhatsApp messages from your business
- Not use WAPLO to bypass Meta's messaging limits or quality ratings
- Understand that Meta may restrict or ban your WhatsApp number if you violate their policies โ WAPLO is not responsible for Meta's actions
- Not use WAPLO with unofficial or third-party WhatsApp clients
Meta's policies are separate from WAPLO's terms. Your WhatsApp Business Account is subject to Meta's approval and policies independently of your WAPLO subscription.
7. AI Features
- WAPLO's AI replies are powered by OpenAI's GPT-4o-mini API
- AI-generated replies are automated suggestions โ you are responsible for the content sent to your customers
- We do not guarantee the accuracy, appropriateness, or completeness of AI-generated content
- Do not rely solely on AI for critical medical, legal, or financial advice to your customers
- AI reply limits are enforced per your subscription plan โ overage charges apply per our pricing
- You can disable AI replies at any time from your dashboard
8. Google Integration
- Google Drive, Sheets, and Calendar integrations are optional and require your OAuth authorization
- By connecting Google services, you authorize WAPLO to create, read, and update files/folders/events in your account
- You can revoke Google access at any time from your Google Account settings
- WAPLO is not responsible for Google service outages or changes to Google's APIs
- Data stored in Google Drive/Sheets is subject to Google's Terms of Service
9. Instagram & Facebook
- Instagram and Facebook Messenger automation is planned for future release
- When available, the same acceptable use and compliance requirements apply
- Connecting these channels requires additional Meta permissions and review
- These terms will be updated when these features launch
10. Payment & Billing
Subscription Plans
- WAPLO operates on monthly subscription plans billed in advance
- Plans renew automatically unless cancelled before the renewal date
- Prices are as published on waplo.io/pricing at the time of subscription
- We reserve the right to change prices with 30 days' notice to existing subscribers
WhatsApp Message Charges
- WhatsApp message costs (conversation fees) are billed directly by Meta to your Meta Business account โ these are separate from WAPLO subscription fees
- WAPLO does not add markup to Meta's message charges
AI Reply Overage
- If you exceed your plan's AI reply limit, overage charges apply: โน199/1,000 replies (India) or $4/1,000 replies (Global)
- You can purchase extra packs from your dashboard
Failed Payments
- If payment fails, we will retry and notify you by email and WhatsApp
- After 3 failed payment attempts over 7 days, your account may be suspended
- Data is retained for 30 days after suspension before permanent deletion
11. Refund Policy
- First-time subscribers: 7-day refund if you've sent fewer than 100 messages and haven't used advanced features
- Renewals: No refunds for subscription renewals โ cancel before renewal date to avoid charges
- Setup fees: Non-refundable (Global accounts)
- AI reply packs: Non-refundable once purchased
- Refund requests: support@waplo.io within 7 days of payment
- Refunds processed within 7-10 business days to original payment method
12. Intellectual Property
- WAPLO platform, code, design, logos, and content are owned by S.U Enterprises
- You may not copy, reproduce, or distribute any part of WAPLO without written permission
- Your business data, customer data, and content remain your property
- By using WAPLO, you grant us a limited license to process your data to provide the service
- Industry templates and automation workflows created by WAPLO remain our intellectual property
13. Data Ownership
- You own all data you upload to or generate through WAPLO
- Your customers' data belongs to you โ we process it as your data processor
- You can export your data at any time from your dashboard
- Upon account termination, you have 30 days to export your data before deletion
- We do not sell your data or your customers' data to any third party
14. Limitation of Liability
WAPLO is provided "as is" without warranties of any kind, express or implied.
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, or consequential damages
- We are not liable for lost profits, lost data, or business interruption
- We are not liable for actions taken by Meta, Google, OpenAI, or payment processors
- We are not liable for WhatsApp number bans or restrictions imposed by Meta
- Our total liability to you in any month shall not exceed the amount you paid us in that month
- We are not liable for service interruptions caused by third-party providers (Meta API, Hostinger, etc.)
15. Indemnification
You agree to indemnify and hold harmless WAPLO and S.U Enterprises from any claims, damages, or expenses arising from:
- Your violation of these Terms of Service
- Your violation of Meta's WhatsApp, Instagram, or Facebook policies
- Your violation of CASL, GDPR, DPDP, or other applicable laws
- Messages sent to your customers without proper consent
- Inaccurate or misleading content sent through WAPLO
- Your use of AI-generated content without appropriate review
16. Termination
By You
- Cancel your subscription anytime from the dashboard or by emailing support@waplo.io
- Cancellation takes effect at the end of the current billing period
- Export your data before cancellation โ we delete data 30 days after account closure
By Us
- We may suspend or terminate your account immediately for violations of these Terms
- We may terminate with 30 days' notice for any other reason
- Upon termination for violations, no refund is provided
- We will notify you at your registered email before terminating without cause
17. CASL Compliance โ Canada

- You must comply with Canada's Anti-Spam Legislation (CASL) when using WAPLO
- You must have express or implied consent before sending commercial electronic messages to Canadian recipients
- Every commercial message must identify you, include contact information, and provide an unsubscribe mechanism
- You must honor unsubscribe requests within 10 business days
- WAPLO provides consent management tools โ you are responsible for using them correctly
- WAPLO is not liable for CASL violations caused by your messaging practices
18. GDPR Compliance โ European Union

- You are the Data Controller for your customers' personal data
- WAPLO is the Data Processor โ we process data on your instructions
- You must have a lawful basis to collect and process your customers' data
- You must inform your customers about data processing through WAPLO
- By using WAPLO, you agree to our Data Processing Agreement (DPA) โ available at privacy@waplo.io
- Both parties must comply with GDPR obligations relevant to their respective roles
19. Indian Law
- These Terms are governed by the laws of India
- Compliance with the Information Technology Act, 2000 and Digital Personal Data Protection Act, 2023 is required
- Disputes subject to jurisdiction of courts in Ludhiana, Punjab, India
20. Disputes
- Contact us first: support@waplo.io โ we aim to resolve disputes within 30 days
- If unresolved, disputes shall be settled by arbitration under the Arbitration and Conciliation Act, 1996
- Arbitration seat: Ludhiana, Punjab, India
- Language: English
- Nothing prevents either party from seeking injunctive relief for intellectual property violations
21. Changes to These Terms
We may update these Terms when we launch new features (Instagram, Facebook, new integrations, etc.) or to comply with new laws. We will notify you via:
- Email to your registered address (30 days' notice for material changes)
- Dashboard notification
- WhatsApp message (if enabled)
Continued use after the effective date constitutes acceptance of updated Terms.
